Counting sales as revenue doesn't work in GAAP but do VC's care that sales and revenue are different and do they use revenue and sales interchangeably?

In my experience, VC's always want to know GAAP revenue because it's a way to compare apples to apples. We both know it's not perfect in that regard, and that cash is king, and they know that too, but that's the primary, standard metric.
The good ones want to see both, so they really understand the mechanics of the business.
Actually this is an accounting issue commonly referred to as "revenue recognition". How you recognize and record sales is dictated by both the tax regulations and corporate policy.
Go to the website of your national government tax agency and input "revenue recognition".
As long as you comply with generally accepted accounting principles (GAAP) most likely be fine. But FYI, we recommend our portfolio companies track revenue as money in the bank and sales as part of the sales funnel.
This is a very interesting topic. You are right that GAAP doesn't work and that more detail information is needed.

I see Sales and Revenue as the same thing. I think when you say Sales you are referring to Bookings? We track bookings (signed contracts) and GAAP revenue by customer. I think it is important to track both and you will be asked for your average ARR or MRR per customer and even a waterfall of GAAP revenue by customer.
I will go with the first option that you have provided.
In a recurring revenue business model, customers will pay for the product/service over a given period, known as the customer lifetime. The two key success factors for recurring revenue companies are customer acquisition and customer retention. In a recurring revenue business model, your company’s customer acquisition and service delivery expenses will outstrip the revenue earned in the previous period. For a recurring revenue business, all the investment is upfront, so the business being built needs to be sustainable. Furthermore, your customers will be paying monthly subscriptions, which are much smaller amounts of money than they would otherwise pay to a normal software business. That is why tracking MRR is important when building a sustainable business – it is the amount of revenue you expect to receive every month.

The other answers are good, and here is one practical approach to handling this. First, the accounting capitalization (10m x $0.001 = $10k) is really irrelevant. In fact, we went for 10m x $0.0001 = $1k. Whatever you pick, your company after formation will show $X of assets (the cash in the back) and $X of shareholder equity. So far so good. You then need to start spending money through the company. Rather than issue more shares, you can lend the money to the company; write out a loan agreement (probably something like a balloon payment 10 years out with 0% interest) and deposit the check. If you're doing everything at the same time, and want to have $1k of shareholder equity with a total of $25k to spend, then deposit the $25k check and call it $1k to purchase the founder's shares and $24k loan. Do companies in the U.S. have to charge a sales tax on digital products, e.g. Info products?
There are a lot of moving parts to this question. First, you need to determine in which states you have "nexus" and then determine do those states require you to charge sales tax, as each state has different rules. As an example, MA requires salesforce.com to charge sales tax to MA customers but does not require newyorktimes.com to charge sales tax. The difference is that users can manipulate data on salesforce.com vs. neworktimes.com is read only. This example can only be applied to MA, Arizona, Illinois, New York, Texas, Pennsylvania and Washington State (as of now). There are also "click-through" and "affiliate" nexus rules that need to be considered. Be careful, as state and local taxation has become a very hot due diligence issue in M&A transactions. So, if you plan to sell your business in the next few years, you want to get this right. Also, the Officers and Directors are personally responsible for uncollected Sales tax. You are best to get an expert to review your sales tax compliance, as it is a very specialized area and changing constantly. Be ready to provide a lot of info on your company and your financial health. Be aware these companies exist to make money so make sure you end up with payments you can handle. You'll also have loan covenants which will outline certain financial performance metric you'll need to hit. If you miss covenants your loan terms will change for the worse and it can even end up with bank taking control of your company.
