You need the terms and conditions. What you can do though is simply changes the specs of the terms and conditions to accomodate this segment of your clients.
People who want the license but are willing ( for whaterver reason ) willing to aquire the product on their own dime can still do so. Protect yourself by having the typical "if purhased your agreement of terms and conditions is implied..." With that said is always best if you make them read them... Such as if digital, form is cannot be acknowledged unless they open the terms and conditions form or scroll through it. That way is more alwyas more on them than your company.
We cant ever avoid a lawsuit or allegations but what we can do is simply allow people to make their educated decisions and us record such acknowledgement of information.

The short answer is that you need a business attorney to help you here. Yes, they are expensive. But in the long run, hiring an attorney will save you time and money while avoiding unnecessary problems.
If the company isn't going to sign the contract ever then what it is that they want you to sign? Is the company asking you to sign their version of terms & conditions? If yes, then you need to be a bit cautious in terms of reading between and behind the lines.
I don't get it when you say "Several staff members of the companies want to avoid their legal department". Are you trying to sell to individuals in an organization apart from organization itself?

I work in the public sector, and in my experience terms and conditions still bear culpability. If your clients want you to sign their PO because they don't want to deal with contracts and their legal team, and it has terms and conditions, then I would consult your leadership or legal team. Maybe one of them could sign it.
At the same time, even though the contract process is a little laborious, it may be worth it to prevent redoing things every year. You could ask you clients if they have a standard purchasing agreement that you could sign (pending your organization is OK with it). That makes the process usually pretty speedy.
I always focus on the customer experience. I also focus on culpability. Therefore, my happy medium is usually to communicate how valuable our clients are to us, but that a contract is the more secure, and convenient option (especially since you have licensing renewal requirements annually). And then I do everything I can to make the process easy for them.

I've discussed ideas with hundreds of startups, I've been involved in about a dozen startups, my business is at $1M+ revenue. The bad news is, there is no good way to protect ideas. The good news is, in the vast majority of cases you don't really need to. If you're talking to people about your idea, you could ask them to sign an NDA ("Non Disclosure Agreement"), but NDAs are notoriously hard to enforce, and a lot of experienced startup people wouldn't sign them. For example, if you asked me to sign an NDA before we discussed your Idea, I'd tell you "thanks, but no thanks". Even though telling people an idea is not completely without risk, generally the rewards from open discussions greatly outweigh the risks. Most startups fail because they build something nobody wants. Talking to people early, especially people who are the intended users/customers for your idea can be a great way to protect yourself from that risk, which is considerably higher than the risk of someone taking off with your idea. Another general note, is that while ideas matter, I would generally advise you to get into startup for which you can generate a lot of value beyond the idea. One indicator for a good match between a founder and a startup is the answer to the question: "why is that founder uniquely positioned to execute the idea well". The best way to protect yourself from competition is to build a product that other people would have a hard time building, even if they had 'the idea'. These are usually startups which contain lots of hard challenges on the way from the idea to the business, and if you can convincingly explain why you can probably solve those challenges while others would have a hard time, you're on the right path. I'll keep try to keep this answer brief, but there are several factors and nuances that can be discussed in more depth. Where you decide to incorporate partly depends on what your future goals are with your company. Companies that plan to seek venture capital or go public typically choose Delaware as the state of incorporation, and usually choose a C-Corp. Delaware has a very well developed body of law surrounding corporate governance and that provides comfort and more certainty to future VC investors. If you're not planning to seek VC money any time soon, an LLC is a smart decision because of the tax benefits it can provide to you as the owner. It sounds like you want to grow your company on your own without outside financing. If that's the case, I would recommend forming your LLC in California. Regarding California vs. Delaware, one benefit to forming your LLC in California is that you can avoid paying a registered agent fee which can cost anywhere from $100-200 a year. If you plan to seek venture capital down the road, you can reincorporate in Delaware.

Shall we register our company before testing the MVP?
I do not believe you should incorporate your company yet as there is a chance you will scrap the idea or iterate on the assumptions after analysis. I suggest you run your initial testing on a very minimal MVP to see if there is interest. I would go further in saying that you should not even allow people to pay only have them click on the payment option because at that point you know that it would be a conversion. The ONLY thing you are proving with an MVP is validation of an idea. Only make the mousetrap front end and see if you can drive users to where you want and stop. Even if you frustrate some people, it was worth it as you now know for sure people will buy or do what it is you wanted. Schedule a call with me to find out more.
