How do you decide on which country to have the jurisdiction in when licensing software to international companies?

I am a corporate and IP lawyer in Israel and I represented Israeli and US companies that had businesses all over the world including in places like Croatia, Germany, India etc.
I cannot answer questions with respect to the laws of the US or Germany, but I can tell you what we did in my firm in similar cases:
The most common solution is to find a third country that will be "equally bad" for litigation for both parties, usually we picked the UK.
Another solution is to say that if the German side is suing, it must do it in the US and vise versa - if the American company is suing, it must do it in Germany.
You can also determine that no courts will be involved and you will settle all disputes in an arbitration. There are a lot of options here, you just need to be creative.

Buying shares of an early startup : What are the things to consider?

As Marcus Lemonis often says: there are 3 Ps: "People, Process, Product".
And would add, in that order and the first P = People is the most important.
The number of startups that pivot is uncountable, and process can be changed as well. But not the people.
Ask yourself -are they trust worthy not only in leading the company to the right place? Will they share information with you after you invest or will they make sure to make all the decisions alone?
I've seen great ideas falling apart in the hands of the wrong people, so make sure that the team in this company is right for you, right for the product and right for the market.

A VC/Angel I am negotiating with wants a clause whereby founders have to sell all vested shares if they leave in good terms. Is this normal?

What's "good terms"? If everybody is happy and you are moving on to your next venture considers as good terms? I never heard about something like this (and I drafted a lot of investment agreements) and it doesn't make any sense either. Will they sell all their vested shares if they decide to stop investing or not participating in future rounds?

What if one of the founders has to move somewhere else?

The most intuitive answer is to say "Global Economy"! "The Internet made as live in one global village so location doesn't matter anymore".
But life is a bit more complicated. You have mentioned that the guy supposed to be your CTO, or basically, your main developer and probably supervising other developers.In that case, some of the points you should consider are: will he need to work closely with others in the company? Will he need to supervise others? Will he be able to perform his duties remotely without supervision?
Don't forget that there is a time difference as well but this could be bridged and not an issue when you schedule a call for early-late afternoon in Europe when in the US we just starting our day. This can be an advantage as well as this way the "Company's working day" is extended.
Which brings me to the next question - Where in the US will he be? East Coast? West Coast? Else?
Will he be in a place where he can do more than programming but also business development and meet with relevant clients/investors/partners?

I have a meeting w/ the CEO of a successful incubator. I'm looking for a new job but want to work inside the incubator and not for one start up. Tips?

How did you get the meeting? Is that a job interview? If yes, what is this job like?
It sounds to me like that you got introduced and there is no specific job on the table, so he (or she) might be a good connection to other companies as well.
The best thing in this case where there is no specific position on the table is to show were you add value. Because, let's face it, this is what business is all about. You came to clarity to get value from the experts on the site and you will get a job in the place that will recognize best the value you can bring to it. So, be yourself but also be great. Learn everything you can about this CEO (previous jobs, hobbies etc.), his incubator, the companies inside the incubator - EVERYTHING (I once learned the financial statements of a company that I was interested in... and got the job).
Show him you are interested in him, show him that you are great and make him believe that the best thing for his business will be to have you on board.
Two more things:
1. Ask a lot of questions. Intelligent ones (prepare in advance).
2. And come with a good positive attitude,not "How not to blow it" but "how do I nail it"!

What exit strategies do angel investors want/prefer for a service business?

I'm happy your a re negotiating exit strategies already but may I ask - do you have a working business model (not a working business, a working business model)? If not, I would start with that...
As tou your question - exit strategies are fluid. You need to have one but why commit on one now? As long as there are options on the table for the investors to see their money back - if it's an IPO, M&A or distributing dividends the investor should be happy.
You may also change you mind about an IPO once you have the business up and running, so "never say never".
BTW- Uber is a service company ... if you have a good idea that can scale and you will be able to show the investors how fast they will see their money back - you will find investors.

It sounds like you don't need a broker yet but someone to brain storm the idea with. If you go to a broker now, you will be offered JUST what that broker knows and not other options that might be on the table. As someone who gave legal support for a lot of companies, I was also very often the CEO/ Chairperson's "shrink" as well and we discussed such issues thinking what are their best options to move forward/exit. Without paying an attorney, how do you find out if these are patentable: 1) your unique way of doing business and 2) certain website features?

First of all, you should understand that you can't just get a patent on everything, and I'm not sure if "the way I do business" is a thing that can be patented. You must give more information.
The best way to start is to Google it... you can learn about what is a patent, in Wikippedia or from other sites.
Look also at the EFF(Electronic Frontier Foundation) website.
Don't forget that answers here on Clarity are not legal
advise and at the end of the day you will probably have to go to a lawyer to consult..

I have a billion dollar idea that could potentially remove UBER from the market. How do I select the right partner to make this happen?

I am a corporate lawyer and business adviser for over 7 years. I worked mainly in Israel, "the startup nation" and at least twice a year an entrepreneur comes over with a similar question. Don't know how to say it better but straight forward - no one EVER starts as a billion dollar company. Did you try your idea on a small market first and saw that it's working? A lot of experts (ask Dan Martell the founder of Clarity) will tell you that you cannot take the whole world by a storm at once. You start small and you scale it little by little. I'm not saying your idea is not good or that it cannot kick out Uber, what I'm saying is that since you don't have to start big, you can take a co-founder that complete your skills - if you are good in developing and lack the marketing, take someone that is great in marketing. If you cannot pitch, take someone who can talk and sell.
But first of all - show a proof of concept.
By the way, if you didn't do it till now, I recommend you read Zero to One by Peter Thiel one of the founders of PayPal. It's a great book where he discusses the creation of something new - from 0 to 1 in oppose to from 1 to n, i.e. adding more of something familiar. Don't define who you are by others, say what's unique about you.

I’m about to purchase an internet based business this month and wanted to know what due diligence should I do to make sure I won’t get scammed?

In a nut-shell - there are 3 types of DD you need to make:
- Business (that you understand the business completely including distribution marketing channels, growth engines, customer service, how much does it cost to acquire a new customer etc.).
- Legal (let your lawyers do that, and DO NOT PROCEED WITHOUT ONE as there are many aspects to think about that you usually don't even imagine like taxes, anti-trust, money laundering and many more that might be relevant).
- Financial (to make sure all numbers are right and together with the legal DD gives you a real picture of the business).
