MenuWe are a bootstrap startup, and recently another company has approached us to acquire a company in our space. How should we price our company?
Our bootstrapped startup has been approached by another company that is looking to acquire a company in our space. We are profitable and all the profits go to us so we need to come up with a price given our future cash flow from the business. I would love to get your input on how to come up with a price for our company.

I think the best place to start is your startup's net worth which includes all assets, the salaries of your staff, and total sales. Say for instance, your business' net worth is $300,000. That's a good middle ground starting point, but your price to this other company can rise or drop from there.
The next step would be to study your competitors and see if you can estimate their approximate net worth. If you can research about 3 to 5 companies in your competition and space, take the average, so the average could be $450,000 for instance.
Next, have several meetings with this company and see how bad they really want you and how far they are willing to go to acquire you. When I say several meetings, you need to really see what they are willing to pay and compare it to your net worth and average net worth of your competitors. You may be able to go higher from there and let this company negotiate your price down.
Be prepared to show them the average net worth of your competition and yours, but only show them the higher figure so they can negotiate your price down. Have an absolute lowest price that you are willing to go to sell.

If you have steady positive cash flows, expect them to value you based on a discounted cash flow with an expected terminal value. Typically a 5 year model is a good starting point. The good news is that those include a lot of assumptions, specifically around growth rates for revenue and expenses.

How do you get your first customers for a consulting business?
Back when I started LinkedIn wasn't as huge as it is now. I wish it was. I didn't have a large network and those networking sessions NEVER brought me any clients. I used to go to all sorts of them hoping to get clients. There were a couple of nibbles here and there, but never anything serious. The only thing that helped was reaching out DIRECTLY to people in my target market. That meant cold calls and cold emails. I'd sell myself while thinking about their needs. Once I got a few bites I'd build good rapport by keeping in touch, asking questions, repeating back what they were saying so that they knew I was on the same page and kept my promises. If I said I'd call them back next Tuesday at 2:15 I'd do so. Eventually I built trust with them without having a network, or an insane amount of experience. Oh and the most important thing about consulting is to LISTEN. When those first clients notice that you're truly listening and you're not selling the cookie cutter solutions everyone else is trying to sell them that's when you got them hooked. You start to understand their problems, fears, and see through their eyes and not just yours. A network will help, but in the beginning just good 'ol salesmanship will get the ball rolling.JC

What is the best way to write a cover letter to an early-stage startup?
Better than a cover letter is to actually proactively DO something to help them. It'll show them not only that you've researched them, but you're passionate about the startup and worth bringing on. A man got a job at Square early on for just making them a marketing video on his own (back before they had one). Since you're a web designer, design a stellar 1-pager that's targeting their message to a particular niche. Something they could use on social media or something. If they're like most startups, they're not interested in reading cover letters. They're interested in passionate individuals who can add value to the organization.AS

How to facilitate a perfect introduction to a potential investor on Linkedin.com through my connections?
Just because two people are connected to each other on LinkedIn, doesn't mean that these two people have a strong connection to one another. So first, ask your Mentor directly whether (s)he knows this person well enough to make an introduction. Also, I'd suggest that instead of asking that the introduction be made via LinkedIn, that the introduction be made directly via email. The way this best happens is to email your mentor with a two paragraph email explaining why it is that you want an introduction to this person and explaining why you think this person would want to meet with you. Then your mentor can forward this email directly to this person with a request for an introduction. If the person replies to your mentor, your mentor will then connect you two directly. If the investor is interested enough to accept an intro, then you'll likely get a 30 minute to 1 hour in-person meeting or call scheduled. In terms of what that investor will be looking for, I've written a lot of answers to questions around seed-stage financing that I encourage you to review. Yo are talking apples and oranges. Capital gains are related to your basis not the form of payment. If you are a cash basis taxpayer, you pay taxes when you receive cash beyond your basis. We can help you with structure.JH
