A startup is in essence the "art" of juggling. Of course you need some sort of "income" to pay for rent, food while your startup or business begins to generate cash flow. Ideally you should have at least 6 months of saving, sufficient time to give you a clear outlook of what will happen with your business. But some businesses start generating cash liquidity at faster pace. What is definetely certain is that you will need "leverage" in order to get your business started: savings, past clients, loans, investor capital, or even grants. Can a C Corp be the owner of and fund several LLC's? Can these LLC's have the same paid Directors?
Yes! But is very tricky. I have a C Corp own two LLCs. You should have separate board of directors in the C Corp that are not owners in the LLCs. Pay through bonuses rather than salaries and aggregate expenses of the LLCs as op. expenses as SBUs of the corp. The reasons for having a C own LLCs can vary, my reasons were that it allows me to join or create new ventures without having to formalize them with dedicated teams, just cycle my team to different efforts while seperatig expenses, not reporting publicly what is being worked on, and if the product takes off the formation is already there to grow the product into a division or umbrella product of my main company. LLCs are easy to form, while C corps are not... One example would be having a conglomerate of investors under a c corp and have advisors and creating an LLc for each new rental construction development project completed. How do you calculate the value of stock for a start up consulting company for the purpose of stock options?
There are three questions here: - the strike price of the options - the market value of the company - how much those options are actually worth to the recipient 1. The strike price is the price people pay to exchange their options for shares. You can set any strike price you like: it's just a negotiable contract term. However, if the strike price is less than the market value of the shares, the options are taxable (which people tend to avoid), so you typically set the strike price at or above the market value. 2. The market value of the company is how much the company is worth. The celebrity of the founder is clearly a big part of it. If the company were sold, the acquirer would want the founder to lock in as part of the acquisition. So figure out the value a couple of ways: (1) off standard profitability metrics: X times yearly profit and/or revenue vs. comparable companies (2) off the acquisition price: with and without the founder and add the percentage chance the founder would go with it (3) off recent transactions in the stock (what people pay for the stock is a great indicator of value) These will give three different answers: pick some sort of average number, so you can justify your strike price. 3. What the options are worth to the recipient: remember they are only worth something if the recipient can exercise them for stock, and then sell the stock (or receive dividends) for more than the option's strike price. So figure out the probability of the company being sold above the strike price in the next X years, and what an weighted average expected sale price is for the company in the next few years (noting the founder's importance), and that's what the options are worth. Growing up from 1+subs to a team like you're saying is a classic problem in consulting. The financial math is not in your favor until you get a consistent team. Here's an article of mine detailing the issues and also detailing solutions: http://blog.asmartbear.com/consulting-company-accounting.html Having said that, I would also say you're trying to do too many things at once with not enough resources, which means the chance of being successful with each one is diminished. For example, you could focus on consulting revenue so you can build up your bench, so that you truly can self-fund the development of a product without distraction. Or you could focus on product, investing time/money there with consulting only to pay for that, even using subs for that, until the revenue there gets to the point that it's scaling (which will be hard, as you can already see). Building a product or a successful consultancy is individually very hard -- most fail. So trying to do both at the same time means you'll almost certainly fail. Which is a shame, because that's "failure due to time-management / strategy" as opposed to actual market forces. i.e. something fixable!
