I live at the intersection of small business and big business.
For big business, I offer commercial and product counsel services in the areas of software, SaaS, and technology transactions, from both the sales and procurement sides. My deals typically range in size from $25k to $50M+. I love working on complex deals, such as channel partnerships, API integrations, and embedded technology. I also build contract management systems and legal operations processes. Large companies also hire me to do things like cover for parental leave and implement short-term compliance projects.
For small business, I offer General Counsel services. I handle compliance and product design, as well as negotiation and closing of strategic transactions. I create a custom contract management system for each client, so the system can be integrated into their existing platforms. I manage contract renewals, compliance deals, and overseeing outside counsel. In this capacity, I frequently work with existing corporate counsel, local counsel, and litigators to manage all of my small business clients' legal needs.
I enjoy negotiating complex deals - especially those that have stalled and need some help to close. During my time at IBM, I learned how to negotiate complex deals that involve multiple internal and external stakeholders, which is something that I very much enjoy. Additionally, I enjoy drafting template agreements, checklists, and playbooks for my clients - for both the sales and procurement sides of deals - to allow business leads to quickly and easily close their deals. I focus on drafting templates that are simple to use and easy for business leads to understand, while simultaneously protecting the client's organization from unnecessary risk.
