MenuCan my S-Corporation receive a 1099 on my behalf?
I am a naturopathic medical practitioner and own an S-Corp for my personal client work. However, I do some independant contractor work for anotehr company. If they issued me a 1099, can I claim this as part of my S-Corp income? If not, is it possible to set up payment to my S-corporation, as I act on behalf of my S-Corp (ie. protecting my personal liability and avoiding SE tax via 1099)

The income should be reported by the individual or business that provided the service and earned the income. If the 1099 is in your name, you could ask the issuing Company to change to the S-Corp if that is who earned the income. In the future, have a written agreement between your S-Corp and the Company you are providing service. Also, provide them with a Form W9, so they know where to report the 1099 income at year end.
You will have to report it on your personal tax return on Schedule C. If you deposited it into your S corporation bank account, it will be counted as income twice. You can expense it on your Schedule C and net to -0- since it included in your corporation income.
In the future, provide your S corporation name and federal ID# to insure that the income will be reported as corporation income rather than personal income.
You should be able to attribute the earnings to your S corporation. I would recommend a written independent contractor agreement between your S corporation and the third party company. You should provide the third party company with a signed IRS Form W-9 for your S corporation. The W-9 should list the legal entity name of the S corporation, the tax ID number for the S corporation, as well as the mailing address. Be sure to indicate the entity classification as "S Corporation" in Box 3. If the third party company issues you a Form 1099 at the end of the year, the compensation will be reported as paid to your S corporation rather than you as an individual. It's true that net earnings flowing through an S corporation are not subject to self employment taxes; however, as the principal shareholder of the S corporation, you should setup payroll and pay yourself a reasonable wage for being an employee of the company. The IRS heavily scrutinizes S corporations for reasonable compensation issues for sole shareholders.

Regarding US taxation of internet sales. Since you are a foreign entity or person (in regard to the US), and there is an income tax treaty between Canada and the US, you will not be liable for US federal income tax on internet sales unless you have a “permanent establishment” in the US with which the internet sales income is effectively connected. So as long as you do not have a warehouse, physical store, sales office, etc... in the US you don't have to file US returns or remit tax to the US. Amazon should be charging to the customer and withholding any sales tax due to a state in which your products are sold. If you sell through other merchants or directly you may have to deal with this yourself. Regarding incorporation Incorporation is almost always a good idea from a liability standpoint as it prevents a judgement for damages from taking all your property and limits the collection to what is owned by the business, With the facts you have given I would suggest incorporating in Canada unless you have a business reason to establish a physical presence in the US. This will eliminate US taxes and related compliance costs. Once you establish a US presence you will need to begin filing returns in the US even if you are running a net operating loss. If there is no benefit to having a physical presence in the US then the related compliance costs and tax would be an unnecessary expense. I'm assuming you're talking about yourself, working for another company? The first thing to consider is that a "1099" is NOT an employee, rather an "independent contractor". The IRS takes it seriously when a company claims 1099 contractors, when in fact, these contractors are treated as employees (the IRS wants payroll tax and will fine companies that miscategorize). To be a 1099 contractor, rather than an employee (W-2), you must have complete control over your schedule - when you work, how much ect. There are other criteria, but this is the main one - you must clearly not be treated the same as an employee. The other thing to consider is that if you are a 1099 contractor, you are responsible for paying and submitting your own income tax and self employment tax to the state and the IRS. It is more advantageous for a company to pay you as a 1099 contractor as they save paying employer portion of payroll taxes. Also you will not count as an employee for the Affordable Care Act (which impacts companies with over 50 employees). Hope this helps. KathrynKC
