Easily 2/3 of the companies I advise have problems with their capitalization tables and incentive grants.

Some people are overpapered, others are underpapered. Complicated vesting structures (or nonexistent vesting) that don't properly align incentives.

Sometimes the numbers don't even add up to 100%.
